1. Definitions

"BizLyn" refers to 'BizLyn' brand software, owned by Rising Star Enterprises, headquartered in Gurgaon, Haryana, India. "Affiliate" or "Referral Partner" means an individual or entity enrolled in the BizLyn Affiliate Program. "Referred Customer" means a new customer who subscribes to a paid BizLyn plan through your unique referral link or code. "Acquisition Commission" means the one-time or recurring reward paid upon a successful new conversion. "Retention Bonus" means the ongoing reward paid to an Affiliate when a Referred Customer renews their subscription beyond the initial term.

2. Eligibility

To participate, you must:

• (a) be at least 18 years of age or hold valid business registration;
• (b) have a valid PAN/GSTIN if operating as a business entity in India;
• (c) not be an existing employee, director, or contractor of BizLyn; and
• (d) agree to these Terms in full.

BizLyn reserves the right to approve or reject any application at its sole discretion.

3. Referral Process

Upon approval, you will receive a unique referral link or code. A referral is considered valid when:

• (a) the Referred Customer clicks your unique link or enters your code at sign-up;
• (b) the Referred Customer is a new user with no prior BizLyn account;
• (c) the Referred Customer purchases a paid subscription within 30 days of first sign-up via your link.

Self-referrals, referrals of existing BizLyn customers, and referrals of employees or family members of the Affiliate are not eligible for commission.

4. Acquisition Commission Structure

The following Acquisition Commission applies to a Referred Customer's first subscription purchase:

Acquisition Commission is credited once the Referred Customer's payment clears the 30-day refund window. For monthly subscriptions, each of the three recurring payments must clear individually before the corresponding commission is credited. No commission is payable if the Referred Customer cancels or requests a refund within the refund window.

5. Retention Bonus

BizLyn rewards Affiliates for the continued success of their referred customers through a Retention Bonus. This bonus recognises the Affiliate's ongoing role in customer support and satisfaction.

The Retention Bonus is payable indefinitely for as long as the Referred Customer maintains an active paid subscription, subject to the Affiliate remaining in good standing. BizLyn reserves the right to cap or revise the Retention Bonus with 60 days' prior written notice. Retention Bonus payments are contingent on the Affiliate remaining enrolled and compliant with these Terms at the time each payment is triggered.

6. Payment Terms

All commissions and bonuses (Acquisition and Retention) are credited to your Affiliate Dashboard once the underlying customer payment clears. Payouts are processed on the 15th of each month for all amounts accrued in the prior calendar month. Minimum payout threshold is ₹500. Payouts are made via bank transfer (NEFT/IMPS) to the account registered in your Affiliate profile. BizLyn shall not be liable for delays caused by incorrect bank details provided by the Affiliate.

7. Tax Obligations

Affiliates are solely responsible for declaring and paying applicable income tax on all commissions and bonuses earned. TDS under Section 194H (Commission/Brokerage) may be deducted at applicable rates before payout where required by law. Affiliates registered under GST must provide a valid invoice for amounts earned in a financial year.

8. Promotional Guidelines

Affiliates may promote BizLyn through their own websites, social media, email newsletters, direct outreach, and CA/accounting networks. Affiliates must not:

• (a) use paid search ads bidding on BizLyn trademarks without prior written consent;
• (b) make false or misleading claims about BizLyn's features, pricing, or capabilities;
• (c) send unsolicited bulk messages (spam);
• (d) impersonate BizLyn employees or use official BizLyn branding beyond the approved assets provided.

All promotional content is subject to BizLyn's review and must be removed upon request.

9. Intellectual Property

BizLyn grants Affiliates a non-exclusive, non-transferable, revocable licence to use BizLyn's name, logo, and approved marketing materials solely for the purpose of promoting the referral program. This licence does not transfer any ownership rights. Affiliates must not modify, alter, or create derivative works from BizLyn's brand assets.

10. Confidentiality

Any non-public information shared with the Affiliate regarding BizLyn's product roadmap, pricing strategy, customer data, or internal operations is strictly confidential. Affiliates must not disclose such information to any third party without prior written consent from BizLyn. This obligation survives termination of the program.

11. Termination

Either party may terminate participation in the program with 15 days' written notice. BizLyn may terminate or suspend an Affiliate immediately without notice in case of:

• (a) breach of these Terms;
• (b) fraud or misrepresentation;
• (c) conduct that harms BizLyn's reputation.

Upon termination, any pending Acquisition Commission for already-converted referrals will be paid in the next scheduled payout cycle. Retention Bonuses will cease from the date of termination — no further renewal-based payments will be made after that date, even for previously referred customers.

12. Limitation of Liability

BizLyn's total liability to an Affiliate shall not exceed the total commissions and bonuses paid to that Affiliate in the preceding 3 months. BizLyn is not liable for any indirect, incidental, special, or consequential damages arising from participation in the program. BizLyn does not guarantee any specific volume of referrals, conversions, or earnings.

13. Modifications

BizLyn reserves the right to modify these Terms, commission rates, and bonus structures at any time. Changes to commission or bonus rates will be communicated with at least 30 days' notice for Acquisition Commission revisions and 60 days' notice for Retention Bonus revisions, given the longer-term nature of retention obligations. Continued participation constitutes acceptance of revised Terms.

14. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising out of or in connection with this program shall be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana. The parties agree to first attempt to resolve disputes through good-faith negotiation before initiating legal proceedings.
